Terms and Conditions for using 2degrees
"2degrees" refers to the website and service provided subject to these Terms and Conditions and/or 2degrees Ltd (company registered in England and Wales with registration number 06485099).
By logging on to 2degrees, Members accept the following Terms and Conditions for using 2degrees.
2degrees operates services at various internet domain names including but not limited to www.2degreesnetwork.com, www.g-business.com, www.2degrees.org as well as various sub-domains and aliases of these domains. All fully qualified domain names on which 2degrees provides 2degrees services are hereinafter referred to as "the 2degrees website."
These Terms and Conditions shall govern the contractual relationship between the Member and 2degrees
The Member enters into this agreement on the use of 2degrees services with 2degrees Ltd,
9400 Garsington Road, Oxford Business Park, Oxford, OX4 2HN.
- Representations and Warranties upon Registration
- 1.1. Members must register prior to using any of the services on the 2degrees website.
- 1.2. The Member warrants and represents that all of the data provided by the Member for registration is accurate and complete. The Member shall report any changes in the registration data to 2degrees without undue delay.
- 1.3. The Member shall sign up with their real name and shall not use pseudonyms or pen names.
- 1.4. The Member is not joining 2degrees in the capacity of a recruitment agent, and will not make unsolicited approaches to other Members with a view to finding potential job candidates for other Companies.
- 1.5. The Member warrants and represents that he or she is over the age of 18 years old at the time of registration.
- 1.6. The Member shall choose a password upon registration. The Member is obliged to keep this password secret. 2degrees shall not disclose the password to any third party.
- 1.7. By completing the registration process, the Member consents to enter into this agreement to use the services of the 2degrees website. 2degrees accepts this offer by activating the membership for the use of services on 2degrees website. This agreement takes effect with the acceptance by 2degrees.
- 1.8. Each Member is entitled to register with 2degrees only once, and the Member may only establish one Member Profile.
- 1.9.It is technically impossible for 2degrees to determine with certainty whether any Member registered with 2degrees is in fact the person he or she represents to be. Therefore, 2degrees assumes no liability for the actual identity of a Member. Each Member is solely responsible for checking the actual identity of another Member.
Member obligations regarding the use of the 2degrees service
The member has the following obligations:
- 2.1. To provide only true and non-misleading statements in the Member profile, in content that they post to the 2degrees service, and in communications with other Members.
- 2.2. To post only profile photographs on the 2degrees website which represent a true likeness of the Member and in which the Member can be clearly and plainly recognized. The Member warrants and represents that the public display of the photographs delivered by the Member to the 2degrees website does not infringe any third party rights. The Member shall not upload any photographs or images of any other person than of the Member, or of non-existent persons or other beings or objects (such as animals, cartoons, inanimate objects, etc.). The photographs delivered by the Member shall not contain any company logos.
- 2.3. To comply with all applicable legislation, and respect all third-party rights. In particular, the Member shall not
- 2.3.1. Upload, post or otherwise make available on the 2degrees service, any insulting or defamatory content, regardless of whether said content is directed at another Member or 2degrees personnel or other individuals or companies
- 2.3.2. Upload, post or otherwise make available on the 2degrees service, any pornographic materials or any content that violate any applicable legislation for the protection of minors; or advertise or promote, offer or distribute any pornographic product or products which do not comply with any applicable legislation for the protection of minors
- 2.3.3. Unreasonably annoy or harass any other Member
- 2.3.4. Upload, post or otherwise make available on the 2degrees service without authorization, any content protected by law (e.g. by copyright, trademark, patent, utility patent, or design patent laws), or advertise, promote, offer or distribute any goods or services protected by law.
- 2.3.5. Impersonate any person or entity, or falsely state or otherwise misrepresent themselves, or their affiliation with any person or entity;
- 2.4. To refrain from engaging in any of the following annoying actions:
- 2.4.1. Sending chain letters
- 2.4.2. Performing, advertising or promoting any form of structural distribution methods (such as multi-level marketing or pyramid selling)
- 2.4.3. Communicating in any insinuating or sexual way (suggestive or explicit)
- 2.4.4. Using the 2degrees website or service to attempt to find potential job candidates (either for the Members’ Company or any other Company) by approaching other Members in an unsolicited manner
- The Member is expressly prohibited from the following:
- 3.1. Using any software or scripts when using 2degrees website (the Member may use a standard Web browser to use the services provided by 2degrees).
- 3.2. Deleting, modifying and copying of any contents of the 2degrees website, unless these actions are necessary for the proper use of the services on the 2degrees website. For example, the use of Web spider technology is not required for proper use of the services, and is therefore prohibited.
- 3.3. Distributing or publicly disclosing the contents of any of the 2degrees website or any of the Networks hosted within the 2degrees website. This includes the disclosure of content from within Networks hosted at 2degrees to those who are not members of said Networks.
- 3.4. Performing any actions which may impair the operability of 2degrees website or associated infrastructure, particularly actions which may overload the 2degrees website or infrastructure.
- 3.5. Collecting email addresses from the 2degrees website by any means for the purposes of sending unsolicited emails.
- 3.6. Uploading, posting, or otherwise making publicly available on the 2degrees website any private information of any third party, including, addresses, phone numbers and email addresses.
- 3.7. Uploading, posting or otherwise making available any material that contains computer code, files or programs designed to interrupt, destroy or limit the functionality or compromise the security of the 2degrees website or the information systems of its members.
- 3.8. Using or attempting to use another Member's login details or account without their express permission (including the accounts of 2degrees staff).
- 2degrees service availability
- 4.1. The Member acknowledges and agrees that it is technically impossible to achieve 100% availability of the 2degrees website. Events related to maintenance, security or capacity requirements, and/or events beyond 2degrees's control (e.g. disruptions in public communication networks, power failures, equipment failures etc.), may result in malfunctions or interruptions of the services provided on 2degrees website.
- Lack of contractual involvement
- 5.1. 2degrees merely provides the Member with a platform by means of which they can establish contact with other Members, and only provides those platform services that allow Members to contact and interact with one another. 2degrees does not take part in any contractual arrangements between Members. If Members enter into agreements with one another over 2degrees website, 2degrees shall not be a contracting party to these agreements. The Members alone are responsible for the execution and/or fulfillment of agreements into which they enter with one another. 2degrees shall not be held liable if Members are unable to contact one another over 2degrees website regarding such agreements. Furthermore, 2degrees shall not be liable for breaches of duty in relation to agreements entered into between Members.
- 5.2. 2degrees is acting only as an introducing agent in terms of agreements entered into between Members and 2degrees’ business partners, and has no contractual involvement in any business conducted between members and these partners.
- Freedom of Network managers with respect to managing their networks
- 6.1. Managers of Networks hosted at 2degrees (Network Managers) are entitled to choose their Network Members. They may freely choose whether or not a Member may join their Network, and whether or not a Member may be banned from their Network.
- 6.2. Network Managers also have the ability and the discretion to delete certain content that may be submitted by Network Members.
- Invoicing and collection of payments
- 7.1. 2degrees may deliver invoices to the Members by email or by standard postal services. In addition, 2degrees will make invoices available for download by Members in the "account" section of the 2degrees website for a period of one year from the date of invoicing.
- 7.2. Payments for Membership shall be due immediately upon invoicing. Payment can be made by means of accepted credit cards, through the use of 2degrees online payment systems or by giving payment details over the telephone (01865 339431).
- Changes to the Services made available by 2degrees
- 8.1. 2degrees reserves the right to modify the services it offers and/or to offer services different from those offered at the time of the Member's registration at any time.
- 8.2. 2degrees shall only make data and/or information provided by the Member available for other uses provided that this use does not violate any laws or these Terms and Conditions. 2degrees is entitled to remove any illegal or prohibited data and/or information from 2degrees website without prior notice to the Member.
- Termination of Membership
- 9.1.The Member may terminate their subscription at any time during their free trial period without cause. The Member may deliver notice of termination by telephoning 2degrees at any time (the telephone number is available in the "my account" section of the 2degrees website), or by postal service (the address is in the contact us section of the 2degrees website).
- 9.2. The Member may terminate their subscription without cause at any time. If the member is no longer in their free trial period, such termination will take effect from the end of the current subscription period (for monthly subscriptions, this will be when the currently paid for month is expired, for quarterly subscriptions this will be when the currently paid for quarter has expired, and for yearly subscriptions this will be when the currently paid for year has expired) chosen by the Member in the course of the registration process, or from the end of any renewal period after said subscription period expires, by giving notice of seven business days. The Member may deliver notice of termination by telephone (the telephone number is available in the "my account" section of the 2degrees website), or by postal service (the address is in the contact us section of the 2degrees website). The termination notice must include an email address of the Member registered on the 2degrees website. The provisions of this clause shall not affect the right of both parties to terminate the agreement for good cause.
- 9.3. 2degrees may terminate a Member’s Membership if the management determine that it is unacceptable for 2degrees to continue the agreement to the end of the termination period, taking into account all circumstances of the individual case and weighing the interests of 2degrees against the Member's. A good cause includes any the following:
- 9.3.1. If the Member fails to comply with any applicable legal provisions
- 9.3.2. If the Member breaches their obligations as set out in these terms and conditions.
- 9.3.3. If the reputation of the services offered on the 2degrees website and/or service is substantially impaired by the online-presence of the Member.
- 9.3.4.If the Member causes harm to any other Member(s).
- 9.3.5. If 2degrees receives complaints about the member’s behaviour, which upon investigation, at the sole discretion of 2degrees management, justifies the termination of the Member’s subscription.
- Actions that may be taken as alternatives to termination
- In the event of a good cause in accordance with section 9.3 and notwithstanding 2degrees's right to terminate the contract in accordance with section 9.3, 2degrees is entitled to, but is not obliged to take any of the following actions:
- 10.1.1. Delete User Generated Content posted by the Member
- 10.1.2. Issue a warning
- 10.1.3. Block the Member's access to the services on the 2degrees website.
- Reimbursement of advance payments upon termination
- 11.1. In the following cases, the Member shall not be entitled to claim reimbursement of any advance payments:
- 11.1.1. If 2degrees has terminated the Member’s Membership for good cause pursuant to section 9.3,
- 11.1.2. If 2degrees has blocked the Member’s access in accordance with section 10.1.3, or
- 11.1.3. If the Member has terminated the agreement. However, the Member's right to claim reimbursement of any advance payments shall not be excluded in this case if the Member has terminated the agreement for a good cause attributable to 2degrees.
- Responsibility for the Member’s Content, Data or other Information
- 12.1. 2degrees does not make any warranties or representations regarding any data and/or information provided or made available by any Member on the 2degrees website or on any external websites linked from it. In particular, 2degrees does not warrant or represent that said data and/or information is true or accurate, or that it fulfils or serves any particular purpose.
- 12.2. The Member may report any activities of any other Member which violate applicable laws and/or any of the terms and conditions of these Terms and Conditions using the reporting functions available within the 2degrees website.
- 12.3. 2degrees does not accept any responsibility for any loss, disruption or damage to Member’s data or their computer systems or the computer systems of their employers which may occur whilst using material derived from the 2degrees website
- User Generated Content
- 13.1. The Member is solely responsible for the photos, profile details, messages, text, information, files, and other content that they upload, publish or display on the 2degrees website, or transmit to or share with other users (collectively the "User Generated Content"). The member may not post, transmit, or share User Generated Content on the 2degrees website that they did not create or that they do not have permission to distribute. The member understands and agrees that 2degrees may, but is not obligated to, review content posted on the 2degrees website, and may delete or remove (without notice) any User Generated Content at its sole discretion, for any reason. The Member is solely responsible at their own cost and expense for creating backup copies of any User Generated Content that they may regard as valuable.
- 13.2. When a Member uploads, posts or otherwise makes available User Generated Content to the 2degrees website, they authorize and direct 2degrees to make such copies thereof as they deem necessary in order to facilitate the posting, storage and distribution of the User Generated Content on the 2degrees website. By posting User Generated Content to any part of the 2degrees website, the Member automatically grants, and they represent and warrant that they have the right to grant, to 2degrees an irrevocable, perpetual, non-exclusive, transferable, fully paid, worldwide license (with the right to sublicense) to use, copy, display, reformat, translate, excerpt (in whole or in part) and distribute such User Generated Content. 2degrees does not assert any ownership over the Member’s User Generated Content; rather, subject to the rights granted to 2degrees in these Terms and Conditions, the Member retains full ownership of all of their User Generated Content and any intellectual property rights or other proprietary rights associated with such Content.
- 13.3. When a Member uploads, posts or otherwise makes available content which comprises a part of their member profile, they authorise 2degrees to use an abridged version of this profile information (photograph, name, first name, last name and job title) for the marketing of the 2degrees website and service.
- Liability of 2degrees
- 14.1. 2degrees does not seek to limit liability for death or personal injury as a result of its negligence, or to exclude any liability that is prohibited from being excluded by law. The Member understands and agrees that in no event will 2degrees or its directors, employees or agents be liable to the member or any third person for any indirect, consequential, incidental, special or other damages, including for any lost profits or lost data arising from their use of the 2degrees website or service, or any of the content or other materials accessed through or downloaded from the 2degrees website, or their inability to access or use the 2degrees service, even if 2degrees is aware or has been advised of the possibility of such damages. Notwithstanding anything to the contrary contained herein, 2degrees liability to the Member for any cause whatsoever, and regardless of the form of the action, will at all times be limited to the amount paid, if any, by the Member to 2degrees for the service during the term of membership, but in no case will the company's liability to the member exceed £500. The member understands and agrees that if no fees have been paid to 2degrees for the service, they shall not be entitled to damages of any kind from 2degrees, regardless of the cause of action.
- Indemnity
- 15.1. The Member shall indemnify and hold 2degrees harmless from all actions, including damage claims, arising from Members or third parties against 2degrees resulting from an infringement of their rights by the contents posted by the Member on 2degrees website.
- 15.2. The Member shall indemnify and exempt 2degrees from all actions, including damage claims, arising from other Members or third parties against 2degrees resulting from the Member’s use of the 2degrees website and services.
- 15.3. The Member assumes all reasonable costs 2degrees incurs due to an infringement of third party rights, including all reasonable legal-defense costs.
- 15.4. The aforementioned obligations shall not apply in the case where the Member is not responsible for the infringement.
- Data Protection
- 16.1. 2degrees recognizes that any personal data provided by the Member to 2degrees is sensitive information, and 2degrees shall therefore be particularly sensitive in handling such data. 2degrees shall comply with all applicable legal provisions regarding data protection (UK Protection Laws, European Data Protection Directives and any other applicable data protection legislation).
- Notices
- 17.1. Unless otherwise stated in these Terms and Conditions, the Member may submit all notices to 2degrees using the contact details provided on the 2degrees website, or by letter or fax. 2degrees may send notices to the Member by email, fax or post to the addresses given in the Member’s current contact data in his or her Member account.
- Governing Law / General information
- 18.1. These Terms and Conditions of use and the Member’s use of the 2degrees website and service shall be governed by and construed in accordance with English law and the English Courts shall have exclusive jurisdiction in connection with all matters relating to these terms and conditions of use, and the Member’s use of the 2degrees service.
- 18.2. The failure of 2degrees to exercise or enforce any right or provision of these Terms and Conditions shall not constitute a waiver of such right or provision.
- 18.3. If any provision of these Terms and Conditions is, for any reason found by a court of competent jurisdiction to invalid and/or unenforceable, the remaining provisions shall continue to be valid and enforceable to the fullest extent permitted by law. The parties agree to replace an invalid and/or unenforceable provision with a valid and/or enforceable provision which most closely approximates the intent and economic effect of the invalid and/or unenforceable provision.
- 18.4. The member agrees that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the 2degrees website or service or these Terms and Conditions must be filed within one year after such claim or cause of action arose or be forever invalid. The section titles in the terms and conditions are for convenience only and have no legal or contractual effect.
- 18.5. 2degrees reserves the right to amend these Terms and Conditions at any time, without giving reasons. In the event of amendment, we will post the changes to these Terms and Conditions on this page and will indicate at the bottom of this page the date these terms were last revised. The Member's continued use of the Service or the Site after any such changes constitutes the Member's acceptance of the new Terms and Conditions. It is the sole reponsibility of the Member to check this page regularly to determine if they are still in agreement with the Terms and Conditions. In the event that the Member does not accept any amendments to the Terms and Conditions, they must cease to use the 2degrees website and service.
